Compliance

In September 2004 Lufthansa adopted a compliance programme. Essential building blocks are competition compliance, capital market compliance and integrity compliance.

 
Competition compliance

Competition compliance serves to familiarise employees with the relevant provisions of cartel legislation in order to minimise or rule out cartel risks for Lufthansa.

 
Capital market compliance

Capital market compliance serves the purpose of giving employees an overview of statutory regulations that govern the capital market, such as those that relate to insider trading or to ad hoc publicity in order to ensure that neither Lufthansa nor its employees are guilty of breaches of the law.

 
Lufthansa has set up a Compliance Office to ensure that new provisions regarding the capital market law are implemented and observed. It also keeps insider lists of everyone who has access to insider information. An ad hoc clearing committee consisting of representatives of different departments also checks facts for their ad hoc release relevance.
 
Integrity compliance

This programme documents Lufthansa’s fundamental attitude toward compliance with legal requirements in commercial dealings. The commitment undertaken by Lufthansa and its employees to behave in a corruption-free and ethical manner is derived from applicable law, the compliance guidelines and Lufthansa’s membership of relevant national and international organisations.

Shareholders structure and entries in the share register

On December 31, German investors held 77.4 per cent of Lufthansa's share capital. The Aviation Compliance Documentation Act (LuftNaSiG) requires that Lufthansa is majority-owned by German shareholders to uphold air traffic rights. To provide this evidence, extended information are required for the entry in the share register. Only registered shareholders are authorised to exercise their shareholder rights.
